TEORU TERMS & CONDITIONS

1. AGREEMENT TO TERMS

Welcome to Teoru (“Platform”), operated by Calvra Group LLC (“Teoru”, “we”, “us”, or “our”).

By accessing or using the Platform located at teoru.com, you agree to be legally bound by these Terms & Conditions (“Terms”).

If you do not agree, you may not access or use the Platform.

These Terms apply to all users, including buyers, creators, visitors, and account holders.

2. PLATFORM OVERVIEW

Teoru is a verification-first digital marketplace offering AI-enhanced and digital assets created by independent creators.

Teoru:

Hosts listings created by independent sellers
Performs manual review of submissions
Facilitate payments via Stripe Connect Express
Does not take ownership of creator content
Acts solely as a marketplace intermediary

Teoru is not a publisher, legal certifier, or guarantor of creator content.

3. ELIGIBILITY

To use Teoru, you must:

Be at least 18 years old
Have legal capacity to enter binding contracts
Provide accurate information
Comply with applicable laws
Not be located in a jurisdiction subject to U.S. sanctions

We reserve the right to restrict access where legally required.

4. USER ACCOUNTS

4.1 Account Registration

Some features require account creation.

You agree to:

Provide accurate information
Maintain up-to-date account details
Keep credentials secure

You are responsible for all activities under your account.

4.2 Account Suspension

Teoru may suspend or terminate accounts for:

Violations of these Terms
Fraud or abuse
Copyright infringement
Security risks
Platform protection

We may withhold access or functionality where legally permitted.

5. BUYER TERMS

5.1 Purchases

Buyers purchase digital assets at clearly displayed prices.

No buyer subscriptions are required.
No recurring usage fees apply.
Prices are shown before checkout.
Taxes may be added where legally required.

All payments are processed securely through Stripe.

5.2 License – Not Ownership

When purchasing an asset:

Buyers receive a license to use the asset under the applicable license terms.
Buyers do NOT receive ownership of intellectual property.
Copyright remains with the creator unless explicitly stated otherwise.

License rights are governed by the License & User Terms.

5.3 Digital Nature of Products

All products are digital downloads.

Due to the nature of digital goods:

Sales are generally final once files are downloaded.
Refunds are governed by the Refund Policy.
Teoru does not guarantee compatibility with specific software or environments unless stated in the product listing.

6. CREATOR CONTENT & RESPONSIBILITY

Creators are independent sellers.

Teoru:

Does not create the listed products
Does not assume copyright ownership
Does not guarantee legal validity of creator submissions

Creators are solely responsible for:

Ownership or licensing rights
Compliance with intellectual property laws
Accuracy of product descriptions
Proper disclosure of AI tools used

7. VERIFICATION PROCESS DISCLOSURE

Teoru performs manual review of submissions before approval.

Verification is:

A quality control measure
A best-effort review process

Verification is NOT:

A legal certification
A guarantee of originality
A guarantee of exclusivity
A guarantee against future disputes

Users are responsible for conducting their own due diligence before purchase or use.

8. INTELLECTUAL PROPERTY

8.1 Creator Ownership

Creators retain ownership of their content.

By listing on Teoru, creators grant Teoru a non-exclusive, worldwide license to:

Host
Display
Promote
Distribute listings on the Platform

8.2 Platform Ownership

Teoru retains ownership of:

Platform design
Branding
Logos
Verification badges
Algorithms
Software
Website content

Unauthorized use is prohibited.

9. PRICING STRUCTURE

Buyers pay a one-time purchase price per asset.

Creators set their base price subject to platform minimums.

Teoru:

Does not operate buyer subscriptions
Does not charge hidden post-purchase fees
Displays pricing prior to checkout

Payment processing fees are incorporated into platform pricing mechanisms.

10. PAYMENT PROCESSING

All payments are processed via Stripe Connect Express.

Teoru:

Does not store full card details
Relies on Stripe for secure processing
May delay creator payouts for risk management

For creators:

Payout eligibility is subject to a minimum 7-day holding period
Additional delays may apply for disputes, refunds, or fraud reviews.

11. REFUNDS & DISPUTES

Refunds are governed by the public Refund Policy.

Teoru retains final authority on:

Refund determinations
Dispute resolution
Chargeback handling

Repeated abuse of refund systems may result in account action.

12. DMCA & COPYRIGHT POLICY

Teoru complies with the Digital Millennium Copyright Act (DMCA).

To submit a DMCA notice:

Include:

Identification of copyrighted work
URL of infringing material
Contact information
Good faith statement
Statement under penalty of perjury

Repeat infringers may be permanently banned.

13. PROHIBITED CONDUCT

Users may not:

Engage in fraud or manipulation
Upload malicious code
Scrape or copy platform data
Artificially inflate sales or reviews
Infringe intellectual property
Violate applicable law

Violations may result in suspension or termination.

14. LIMITATION OF LIABILITY

The Platform is provided “AS IS” and “AS AVAILABLE.”

To the fullest extent permitted by law:

Teoru does not guarantee sales performance
Teoru is not liable for indirect, incidental, or consequential damages
Teoru is not responsible for disputes between users
Liability is limited to amounts paid to Teoru in the prior 12 months

Nothing in these Terms limits liability where prohibited by law.

15. INDEMNIFICATION

You agree to indemnify and hold harmless Teoru and Calvra Group LLC from claims arising from:

Your use of the Platform
Your content
Your violation of these Terms
Your infringement of third-party rights

16. DISPUTE RESOLUTION

Except where prohibited by law:

Disputes shall be resolved through binding arbitration
Governing law: Commonwealth of Massachusetts
Class actions are waived
Small claims court permitted where applicable

17. MODIFICATIONS TO TERMS

Teoru may update these Terms at any time.

Material changes will be posted on the Platform.

Continued use constitutes acceptance of updated Terms.
