TEORU BUYER'S TERMS

These Buyer Terms apply to all users who purchase digital assets on Teoru, operated by Calvra Group LLC (“Teoru”, “we”, “us”, or “our”).

By completing a purchase on Teoru, you confirm that you have read, understood, and agreed to:

If you do not agree, you must not complete a purchase.

1. PLATFORM ROLE

Teoru is a marketplace platform that connects independent creators (“Sellers”) with buyers.

Teoru:

Hosts digital product listings created by independent sellers
Facilitates secure payment processing through Stripe
Performs manual review of listings

Teoru is not the creator of listed products and does not become the copyright owner.

Transactions occur between buyers and independent creators. Teoru acts solely as a marketplace intermediary.

2. WHAT YOU ARE PURCHASING (LICENSE GRANT)

When you purchase a product on Teoru, you are not purchasing ownership of the asset.

Instead, you receive a limited, non-exclusive, non-transferable, non-sublicensable license to use the assets in accordance with:

The license displayed on the product page
These Buyer Terms
The License & User Terms

All intellectual property rights remain with the creator unless explicitly stated otherwise.

No copyright ownership transfers to the buyer.

3. PERMITTED USES (STANDARD LICENSE)

Unless otherwise stated on the product page, the Standard License generally allows you to:

Use the asset for personal and commercial projects
Use the asset in your business, marketing, videos, websites, and digital content
Modify or adapt the asset for your own creative projects
Include the asset within client deliverables as part of a broader work

Your use must remain consistent with the license shown on the product page.

4. PROHIBITED USES

Unless explicitly authorized by a future extended license, you may NOT:

Resell or redistribute the asset as a standalone product
Share, sublicense, or distribute original files
Upload the asset to other marketplaces or repositories
Claim authorship or ownership
Register the asset (or a substantially similar version) as a trademark
Use the asset in illegal, deceptive, defamatory, or harmful activities
Use the asset to train AI models without express written permission

Violation of license terms may result in:

Account suspension
Permanent termination
Legal action where applicable

5. REVIEW BEFORE PURCHASE

Before completing a purchase, you are responsible for reviewing:

Product description
Preview images
File formats and specifications
Compatibility requirements
License terms

Failure to review product details does not create entitlement to a refund.

6. DIGITAL PRODUCT NATURE

All products sold on Teoru are digital downloads.

Due to the nature of digital goods:

Products are generally non-returnable once accessed or downloaded
Sales are generally final
Refunds are limited and governed by the Refund Policy

7. REFUNDS

Refunds may be considered only under limited circumstances, including:

Files are corrupted or technically unusable
The product is materially different from its description
Verified copyright or licensing issues arise
Duplicate accidental purchases

All refund decisions are governed by the Teoru Refund Policy.

Teoru retains final authority over refund determinations.

8. CHARGEBACKS AND DISPUTES

You agree to contact Teoru Support before initiating a chargeback.

Fraudulent or abusive chargebacks may result in:

Immediate account suspension
Permanent termination
Restriction from future purchases
Recovery of associated administrative costs where legally permitted

Teoru reserves the right to investigate disputes to protect the platform and its users.

9. VERIFICATION DISCLOSURE

Teoru performs manual review of listings before approval.

However:

Verification is a best-effort quality control measure
It does not guarantee originality
It does not guarantee exclusivity
It does not constitute legal certification

Buyers are responsible for ensuring the asset is appropriate for their intended use.

10. NO GUARANTEE OF FITNESS OR RESULTS

Products are provided by independent creators.

To the maximum extent permitted by law:

Teoru does not guarantee that an asset will meet your specific needs
Teoru does not guarantee business results, revenue generation, or performance outcomes
Teoru does not provide legal advice regarding asset use
Teoru does not guarantee uniqueness or exclusivity

You assume full responsibility for your use of purchased assets.

11. PAYMENT PROCESSING

Payments are processed securely through Stripe.

Teoru:

Does not store full credit card information
Relies on Stripe’s security standards
May comply with tax collection requirements where applicable

All charges are displayed prior to checkout confirmation.

12. ACCOUNT TERMINATION

Teoru may suspend or terminate buyer accounts for:

Abuse of refunds
Repeated chargebacks
License violations
Fraudulent activity
Harassment or misconduct
Policy violations

Termination does not remove your obligation to comply with license restrictions for previously purchased assets.

13. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

Teoru is not liable for indirect, incidental, or consequential damages
Teoru is not responsible for disputes between buyers and creators
Liability is limited to the amount paid for the specific asset in dispute

Nothing in these Terms limits liability where prohibited by law.

14. ACCEPTANCE OF TERMS

By completing a purchase on Teoru, you confirm that:

You understand that you are purchasing a license, not ownership
You agree to comply with license restrictions
You have reviewed product details prior to purchase
You agree to these Buyer Terms, the Refund Policy, and the full Terms & Conditions
